Terms of Service
Effective April 27, 2026
These Terms govern your use of Energy Sync, a procurement intelligence workspace operated by Digital Bar AI. By signing in or uploading data, you agree to these Terms on behalf of yourself and the organization you represent.
Service description
Energy Sync provides software for energy brokers and independent power producers to manage requests-for-proposal, score supplier offers, generate customer proposals, track contract lifecycle, and analyze commission statements. AI features (drafting, scoring, anomaly detection) are advisory; you are responsible for verifying outputs before acting on them.
Accounts
You must be at least 18 years old and authorized to act on behalf of your organization. You are responsible for safeguarding your sign-in credentials and for all activity under your account. Notify us at security@energysync.ai immediately if you suspect unauthorized access.
Data ownership
You retain all rights in the customer, supplier, contract, and document records you upload ("Customer Data"). You grant Energy Sync a limited license to process Customer Data solely to deliver the service to you and your organization. We do not sell Customer Data and we do not use it to train AI models.
Acceptable use
You agree not to:
- Upload content you do not have the right to share.
- Attempt to access another organization's data, share tokens, or audit trail.
- Reverse-engineer, scrape, or rate-abuse the service.
- Use the service to violate energy-procurement regulations (FERC/NERC/state PUC requirements) or to facilitate misrepresentation in regulated transactions.
- Send unsolicited commercial messages through the supplier portal or customer-facing share links.
Confidentiality
We treat Customer Data as confidential. You agree to treat any non-public information you receive about Energy Sync (pricing, roadmap, beta features) as confidential.
Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is announced in advance where practical. The current production deployment runs in a single region; multi-region failover is on the roadmap.
Fees
Fees, if any, are set out in the order form between Digital Bar AI and your organization. Free or evaluation access may be revoked at any time. Paid plans renew per the order form.
Termination
You may terminate at any time by emailing security@energysync.ai. We may suspend or terminate access for material breach of these Terms, in which case we will provide notice and a 14-day cure period where practical. After termination, we delete Customer Data per the retention schedule in our Privacy Policy.
Disclaimer
The service is provided "as is" without warranties of any kind. AI-generated outputs are advisory and may contain errors. You remain responsible for procurement decisions and regulatory compliance. To the maximum extent permitted by law, Digital Bar AI's aggregate liability arising out of or related to the service is limited to the fees you paid in the 12 months preceding the claim, or US$1,000 if no fees were paid.
Indemnity
You agree to defend and indemnify Digital Bar AI against claims arising from your Customer Data or your breach of these Terms.
Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state and federal courts located in King County, Washington.
Changes
We may update these Terms. Material changes will be posted here and notified by email to active account holders at least 14 days before taking effect.
